Commercial Terms
These baseline terms apply to purchases and paid engagements unless a proposal, statement of work, or signed agreement provides more specific terms for the engagement.

Purchases & proposals
Some services require consultation, qualification, a proposal, or a signed agreement before purchase. A public service page or plan card is an invitation to discuss an engagement and is not itself a binding offer unless clearly stated otherwise.
Payments
Payment schedules may include commencement fees, deposits, milestones, recurring service periods, or one-time purchases. Amounts, timing, taxes, and payment methods are defined at checkout or in the applicable proposal or agreement.
Custom work
Custom technology and platform work may require a commencement payment that compensates for reserved capacity, onboarding, discovery, architecture, planning, project setup, or other early-stage obligations. Completed work and work already performed remain payable even if an engagement ends early.
Scope changes
Requests outside the approved scope may require a written change request describing the new work, cost impact, timeline impact, and required approval before implementation.
Acceptance & remediation
Custom deliverables may include an agreed review and acceptance period. A legitimate defect is generally addressed through reasonable remediation under the applicable agreement rather than automatically creating a refund right.
Intellectual property
W.B. Suhail retains ownership of pre-existing intellectual property, reusable frameworks, libraries, plugins, methods, systems, architecture, templates, processes, and know-how unless expressly transferred in writing. Client-specific rights, licenses, or assignments are defined in the applicable engagement agreement and may depend on full payment.
Third-party services
Third-party platforms, plugins, payment providers, hosting, APIs, and services remain subject to their own terms, availability, pricing, and technical changes. W.B. Suhail does not warrant the uninterrupted operation of systems outside his control.
Termination
On termination of a custom engagement, the client may remain responsible for completed work, work performed but not yet invoiced, approved work in progress, non-cancellable commitments, third-party expenses, and transition obligations as defined by the engagement agreement.
Refunds & cancellations
Refund and cancellation eligibility depends on the category of purchase, whether work has commenced, whether delivery or digital access has occurred, and the applicable agreement. See the Refund & Cancellation Policy for the general framework.
Order of precedence
For a specific engagement, a signed agreement or statement of work controls over these general Commercial Terms where it provides more specific or conflicting terms, subject to applicable law.
